    1. Acceptance of Terms

    By accessing and using the website, services, custom builds, and automated systems provided by Suirflow AI ("Company", "we", "us", "our"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, you must not use our services.

    2. Description of Service

    Suirflow AI provides businesses with digital services including, but not limited to, custom AI-powered websites, AI-driven lead qualifying systems, and automated workflows (collectively, the "Services"). We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice and without liability to you.

    3. Fees, Payments, and Subscriptions

    • Payment Terms: Clients agree to the fee structure outlined in their individual proposals, invoices, or subscription plans.
    • Late Payments: We reserve the right to suspend any active websites, workflows, or AI hosting services if payments are overdue by more than 14 days.
    • Third-Party Costs: Unless explicitly stated otherwise, the client is responsible for ongoing third-party API costs required to run their systems (e.g., OpenAI API keys, Make.com, web hosting, domain registration).

    4. Intellectual Property & Ownership

    • Suirflow AI Property: We retain all rights, title, and interest in our proprietary software, custom AI prompt structures, system architectures, template workflows, and code base built prior to or during the project.
    • Client Deliverables: Upon full and final payment, the client is granted a non-exclusive license to use the final custom front-end website and deployed workflows for their intended business purposes. The client retains all intellectual property rights to their original data, brand assets, and customer lists.

    5. AI Outputs and Limitations

    • Accuracy: You acknowledge that our services rely on artificial intelligence models. Suirflow AI does not warrant or guarantee the 100% accuracy, completeness, or reliability of automated outputs or lead qualification interactions generated by the AI.
    • Client Review: The client is solely responsible for reviewing, monitoring, and validating the performance and compliance of the AI workflows and lead systems deployed in their business environments.

    6. Prohibited User Conduct

    You agree to use our services only for lawful purposes. You are strictly prohibited from:

    • Attempting to reverse-engineer, decompile, or copy the underlying AI architectures or software provided by Suirflow AI.
    • Using our automated systems to generate spam, engage in deceptive marketing practices, or violate local data privacy laws (e.g., GDPR).
    • Violating or attempting to violate the security of our website or hosted infrastructure.

    7. Limitation of Liability

    To the maximum extent permitted by applicable law, in no event shall Suirflow AI, nor its directors (including Aaron and Colin), employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of profits, revenue, data, business opportunities, or goodwill resulting from:

    • Your use or inability to use our services.
    • Any system downtime, API failures from third-party networks, or AI hallucinations.
    • Unauthorized access to or alteration of your transmissions or data.

    8. Governing Law

    These Terms shall be governed by, construed, and enforced in accordance with the laws of Ireland. Any legal actions, suits, or proceedings arising out of or relating to these Terms shall be brought exclusively in the courts of Ireland.
